Terms of Service

These Terms of Service ("Terms") govern access to and use of the PulseDojo.ai software-as-a-service platform by tenant organizations ("you", "your", "tenant"). By creating or administering a tenant account on PulseDojo.ai, you agree to be bound by these Terms.

1. The service

PulseDojo.ai ("PulseDojo") is a multi-tenant platform that provides tooling for martial arts federations and dojos to manage members, attendance, belt promotions, competitions, payments, certificates, and communications. Each tenant receives an isolated data space and a dedicated domain or subdomain under which to operate.

2. Eligibility and accounts

Tenant accounts are available to legally registered organizations (including non-profits, corporations, and sole proprietors) operating martial arts instruction services. The administrator who accepts these Terms on behalf of a tenant must have authority to bind that organization.

You are responsible for maintaining the confidentiality of administrator credentials and for all activity that occurs under your tenant account.

3. Fees and payments

PulseDojo's fee model is a per-transaction application fee collected via Stripe Connect. When a student, parent, or registrant pays your dojo through the platform:

  • Funds settle directly to your connected Stripe account
  • PulseDojo deducts a small platform application fee from each transaction
  • Stripe deducts its standard processing fees independently

Exact application-fee percentages are disclosed during tenant onboarding and at any time on request to hello@pulsedojo.ai. For-profit tenants and non-profit tenants may be offered different rates. We give at least 60 days' written notice before changing a tenant's fee rate.

Subscription-based pricing (fixed monthly fee in lieu of per-transaction application fees) is available on request.

4. Tenant and end-user relationship

Each tenant is the controller of personal information about its students, parents, and instructors. PulseDojo acts as a processor for that data and does not use it for any purpose other than providing the platform services to you. Any end-user agreement (privacy policy, waiver, membership agreement) between your dojo and its students is solely between you and them.

5. Acceptable use

You agree not to use the platform to:

  • Send unsolicited commercial messaging in violation of CASL or equivalent anti-spam laws in other jurisdictions
  • Upload content you do not have the right to use (photos, videos, logos, written materials)
  • Attempt to access another tenant's data or circumvent the multi-tenant isolation boundary
  • Use the platform for illegal gambling, adult content, or activities prohibited by Stripe's acceptable-use policy
  • Reverse-engineer, scrape, or replicate the platform to create a competing service

6. Payments compliance

All payments move through Stripe Connect under Stripe's own terms, including the Stripe Connected Account Agreement. You are responsible for your own tax reporting, refund obligations to end users, and any chargebacks against your connected account. PulseDojo may withhold its application fee on a disputed transaction per Stripe's dispute handling.

7. Availability

PulseDojo targets 99.5% uptime measured monthly, excluding announced maintenance windows and force-majeure events. We do not guarantee uninterrupted service. If extended downtime affects your dojo's operations, contact support@pulsedojo.ai — credits may be issued at our discretion.

8. Termination and data export

Either party may terminate a tenant account with 30 days' written notice. PulseDojo may suspend or terminate immediately for material breach (fraud, illegal activity, non-payment, or misuse of the platform).

On termination, you may request a full export of your tenant data in CSV/JSON format within 90 days. After 90 days, backups are retained only as required for legal compliance.

9. Intellectual property

PulseDojo retains all rights in the platform software, trademarks, and documentation. You retain all rights in the content you upload (student photos, videos, written materials, branding). You grant PulseDojo a limited, non-exclusive licence to host and process your content solely to provide the services.

10. Warranty disclaimer

The platform is provided "as is" and "as available". PulseDojo disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

11. Limitation of liability

To the maximum extent permitted by law, PulseDojo's total aggregate liability for any claim arising out of or related to these Terms shall not exceed the total fees paid by the affected tenant in the 12 months preceding the claim. PulseDojo is not liable for indirect, consequential, incidental, or punitive damages.

12. Governing law

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The courts of Calgary, Alberta have exclusive jurisdiction over disputes arising from these Terms, except that either party may seek injunctive relief in any competent court.

13. Changes to these Terms

We may update these Terms from time to time. Material changes are announced via email to tenant administrators at least 30 days in advance. Continued use of the platform after the effective date of a change constitutes acceptance.
